Ecopetrol S.A. Announces Exchange Offer

BOGOTA, Sept. 3 /PRNewswire-FirstCall/ -- Ecopetrol S.A. (BVC: ECOPETROL; NYSE: EC), (the "Company"), announced today an offer to exchange (the "Exchange Offer") registered 7.625% Notes due 2019 (the "New Notes") for up to U.S.$1,500,000,000 aggregate principal amount of its 7.625% Notes due 2019 (the "Old Notes"), upon the terms and subject to the conditions described in the prospectus dated September 3, 2009 (the "Prospectus"). The Exchange Offer is being made in order to satisfy certain of the Company's obligations under the Registration Rights Agreements referred to in the Prospectus.

Notes must be tendered in minimum denominations of U.S.$1,000 or integral multiples of U.S.$1,000 in excess thereof.

The exchange offer commences on September 3, 2009, and expires at noon, New York City time, on October 2, 2009, unless extended by the Company. Tenders of Old Notes may be withdrawn at any time prior to the scheduled expiration date of the Exchange Offer. The Company will not receive any proceeds from the Exchange Offer. The terms of the New Notes to be issued are identical to the Old Notes, except for the transfer restrictions and registration rights relating to the Old Notes. The Company will make an application to list the New Notes on the New York Stock Exchange.

The Bank of New York Mellon is the exchange agent. There is no letter of transmittal for the Tender Offer. All tendered Old Notes and other related documents should be directed to the exchange agent, by book-entry transfer as detailed under "The Exchange Offer-Procedures for Tendering Old Notes" in the Prospectus.
